Terms and Conditions – ARTOC Family Pty Ltd

Please read these terms and conditions carefully before using Our Service.
1. Interpretation and Definitions
1.1 Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
1.2 Definitions
For the purposes of these Terms and Conditions:
- Account means a unique account created for You to access our Service or parts of our Service.
- Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
- Company (referred to as either “the Company”, “We”, “Us” or “Our”) refers to ARTOC Family Pty Ltd, Unit 24/47 Allingham Street, Condell Park, NSW 2200, Australia.
- Content refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You.
- Country refers to: New South Wales, Australia.
- Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
- Feedback means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.
- Free Trial refers to a limited period of time that may be free when purchasing a Subscription.
- Goods refer to the physical items offered for sale, including Calisthenics Equipment (Parallettes, Rings, Bands) and Merchandise (Apparel, Accessories).
- Orders mean a request by You to purchase Goods from Us.
- Service refers to the Website (https://artoc.com.au) and the physical fitness services provided at our facility.
- Subscriptions refer to the recurring services (e.g., Unlimited Classes Membership) offered on a subscription basis.
- Class Package refers to non-renewal blocks of classes (10, 30, or 60 sessions) that operate as coupons.
- Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
2. Acknowledgment
These Terms and Conditions govern the use of this Service and the agreement that operates between You and the Company. By accessing or using the Service, You agree to be bound by these Terms.
You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service without express written parental/guardian consent and a signed “Acknowledgment, Release, and Indemnification Agreement.”
3. Placing Orders for Goods and Services
By placing an Order, You warrant that You are legally capable of entering into binding contracts. You agree to supply accurate information, including your email, shipping address, and payment details.
3.1 Payments and Billing
We use Stripe for secure payment processing. Payment cards are subject to validation checks and authorization by Your card issuer. Subscription fees are billed in advance on a recurring and periodic basis.
3.2 Equipment & Merchandise Shipping
- Shipping: Risk of loss and title for Goods pass to You upon our delivery to the carrier.
- Product Representation: We strive for accuracy in displaying Merchandise colors and details, but cannot guarantee your Device’s display perfectly reflects the physical product.
3.3 Returns and Order Cancellation Rights
- Equipment: Under Australian Consumer Law (ACL), we do not offer refunds for “change of mind” on equipment once opened.
- Merchandise (Apparel): Exchanges for different sizes may be considered if returned within 14 days in original, unworn condition with tags intact.
- Hygiene Items: Items such as chalk or used bands are not eligible for return.
- Faulty Goods: Defective Goods will be repaired, replaced, or refunded as required by the ACL.
4. Memberships and Class Packages
4.1 Class Package Expiry (IMPORTANT)
To ensure training consistency, these packages are subject to strict expiry periods from the date of purchase:
- 10 Class Pass: Expires 3 months from purchase.
- 30 Class Pass: Expires 6 months from purchase.
- 60 Class Pass: Expires 12 months from purchase.
Unused sessions after these periods are forfeited and non-refundable.
4.2 Subscription Cancellations
You may cancel Your Subscription renewal through Your Account settings. No refunds are provided for fees already paid for the current period; access remains until the period ends.
4.3 Cancellation & Rescheduling (The 24-Hour Rule)
No cancellations or rescheduling for Personal Training or Group Classes can be made within 24 hours of the scheduled start time. Failure to notify within this window results in a forfeited session.
5. Content and User Accounts
5.1 User Accounts
You are responsible for safeguarding your password. Failure to provide accurate information constitutes a breach of the Terms, which may result in immediate termination of Your account.
5.2 Content Restrictions
You are responsible for any Content you post. You may not transmit Content that is unlawful, offensive, upsetting, intended to disgust, or otherwise objectionable. The Company reserves the right to remove any Content at its sole discretion.
6. Health and Liability
6.1 Pre-Exercise Requirement
You must complete the Pre-exercise Screening & Questionnaire Form before your first session. We reserve the right to deny service if medical clearance is required but not provided.
6.2 Assumption of Risk and Liability Waiver
You voluntarily assume all risks associated with calisthenics and weight training. To the maximum extent permitted by the Civil Liability Act 2002 (NSW), the Company shall not be liable for any personal injury, death, or property damage resulting from the use of the facility, participation in training, or use of ARTOC equipment/apparel outside our facility.
7. Intellectual Property and Feedback
The Service and its original content are the exclusive property of ARTOC Family Pty Ltd. Any Feedback you provide grants the Company a non-exclusive, perpetual, royalty-free license to use and exploit such suggestions without restriction.
7.1 Copyright Policy (DMCA)
We respect intellectual property rights. If you believe Content on our Service infringes a copyright, please notify our agent at contact@artoc.com.au with a detailed description of the alleged infringement.
8. Limitation of Liability
To the maximum extent permitted by applicable law, the entire liability of the Company shall be limited to the amount actually paid by You through the Service or 100 AUD if You haven’t purchased anything. This does not limit your rights under the Australian Consumer Law regarding major failures of service.
9. Governing Law and Disputes
The laws of New South Wales, Australia, shall govern these Terms. If You have a concern, You agree to first try to resolve the dispute informally by contacting the Company.
